1) Acceptance of These Terms

Welcome to SamHorn.com (the “Site”), operated by Sam Horn / Intrigue Agency, (“Company,” “we,” “us,” or “our”). By accessing or using the Site, our content, products, memberships, events, and/or services (collectively, the “Services”), you agree to be bound by these Terms & Conditions (“Terms”) and our Privacy Policy. If you do not agree, do not use the Services.

2) Accounts & Security

You may need an account to access certain Services. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized use.

3) Orders, Pricing & Payment

  • Payments. We may accept payments via third-party processors (e.g., WooCommerce, Stripe, PayPal). Your use of those processors is subject to their terms and privacy practices.

  • Taxes. Prices may exclude taxes. You are responsible for any applicable taxes, duties, or fees.

  • Price Changes. We may change prices at any time. Changes will not affect completed purchases.

4) Subscriptions & Free Trials (If Applicable)

  • Auto-Renewal. Some Services may be offered as subscriptions that renew automatically unless canceled prior to the renewal date.

  • Cancellation. You can cancel at any time via your account settings or by contacting us; cancellations apply to future billing periods only.

  • No Proration. Unless required by law, we do not provide refunds or credits for partial subscription periods.

  • Free Trials. If offered, free trials convert to paid plans unless you cancel before the trial ends.

5) Refunds & Cancellations

All sales are final for intellectual property and service-based work.
This includes, without limitation: digital products, downloads, courses, toolkits, templates, webinars, replays, recordings, memberships, workshops, event tickets (live or virtual), consulting, coaching, strategy sessions, speaking fees, retainers, and any other custom or professional services (“IP/Services”). Because IP/Services are delivered in knowledge, time, and/or immediately accessible digital formats, no refunds or chargebacks are offered once purchased, except where prohibited by law. Your statutory rights (if any) remain unaffected.

If we ever sell physical products, those will be governed by the specific return policy displayed at purchase. If no specific policy is displayed, physical goods are final sale unless defective on arrival; in such case, contact us within 14 days for an exchange.

Chargebacks. Initiating a chargeback for a valid purchase is a breach of these Terms. We reserve the right to suspend or terminate access, and to dispute chargebacks with evidence of delivery/access.

6) License to Use Site Content

We (and/or our licensors) own all content on the Site and within the Services, including text, frameworks, methods, videos, audio, designs, and trademarks (“Company Content”). We grant you a limited, non-transferable, non-sublicensable, revocable license for personal, non-commercial use only, subject to these Terms. You may not copy, share, resell, publish, adapt, or create derivative works from Company Content without our prior written permission.

7) Your Content & Feedback

If you submit content (e.g., comments, assignments, testimonials, or feedback), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, publish, and display such content for our business purposes, subject to applicable law and our Privacy Policy. You represent you have all necessary rights to grant this license and that your content does not infringe third-party rights.

8) Acceptable Use

You agree not to:

  • Violate any law or the rights of others;

  • Share your account or redistribute Company Content;

  • Use the Services to harass, defame, or harm others;

  • Upload malware or attempt to interfere with Site operations;

  • Reverse engineer or scrape the Services;

  • Use the Services for unauthorized commercial purposes.

We may suspend or terminate accounts for violations.

9) Educational & Informational Use Only; No Professional Advice

Our content and Services are for educational and informational purposes. We do not provide legal, medical, financial, or other professional advice. Outcomes vary; we do not guarantee results. You are responsible for your decisions and actions.

10) Third-Party Links & Tools

The Site may link to third-party sites or tools. We are not responsible for their content, policies, or practices. Use at your own risk.

11) Intellectual Property Notices

All trademarks, service marks, trade names, and logos displayed are the property of their respective owners. Use does not imply endorsement or affiliation unless expressly stated.

12) Event Policies (If Applicable)

Event dates, speakers, and formats are subject to change. Transfers/substitutions may be allowed at our discretion (and may require written approval). Unless required by law, no refunds are provided for event registrations or replays.

13) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

14) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE 3 MONTHS PRECEDING THE EVENT.

Some jurisdictions do not allow certain exclusions/limits; these may not apply to you.

15) Indemnification

You agree to defend, indemnify, and hold harmless the Company and our officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your content, or your breach of these Terms.

16) Compliance & Export Controls

You agree to comply with all applicable laws, including export control and sanctions laws, when using the Services and accessing Company Content.

17) Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law principles.

Courts: You agree to the exclusive jurisdiction and venue of the state and federal courts located in Lakeway, Texas for all disputes.

(If you would prefer arbitration instead, I can revise this section to reflect arbitration in Lakeway, Texas.)

18) Changes to the Services or Terms

We may update the Services and these Terms from time to time. Material changes will be posted on the Site with a revised “Last Updated” date. Continued use after changes constitutes acceptance.

19) Termination

We may suspend or terminate access to the Services at any time for any reason, including suspected violations of these Terms. Upon termination, your right to use the Services ceases immediately, and Sections intended to survive (e.g., IP, disclaimers, limitations, indemnification) will survive.

20) Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, natural disasters, labor disputes, internet outages, or governmental actions.

21) Severability; Waiver

If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver of that right.

22) Entire Agreement

These Terms, together with any order form, subscription terms, and our Privacy Policy, constitute the entire agreement between you and us regarding the Services and supersede prior or contemporaneous communications.
